By accessing, browsing, registering for, or otherwise using any part of this Website, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy, Cookie Policy, and any other guidelines or policies referenced herein (collectively, the "Agreement"). If you do not agree to any of these Terms, you must immediately cease all access and use of the Service.
2.2. Use of the Services is also subject to any additional terms and conditions that may apply to specific Service offerings. In the event of any conflict between these Terms and specific service terms, the specific service terms shall control with respect to that specific Service.
2.3. You represent and warrant that you are at least 18 years of age and possess the legal right and ability to enter into this Agreement. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization or entity to these Terms.
3.1. We reserve the right, at our sole and absolute discretion, to change, modify, add to, supplement, suspend, discontinue, or delete any of the terms and conditions of this Agreement (including these Terms of Service and Privacy Policy) and review, improve, modify or discontinue, temporarily or permanently, the Service or any content or information through the Service at any time, effective with or without prior notice and without any liability to us.
3.2. We will endeavor to notify you of material changes by email or by posting a notice on the Service, but it is your responsibility to review these Terms periodically for changes. Your continued use of the Service following the posting of approved changes will constitute your acceptance of and agreement to be bound by those changes. If you object to any such changes, your sole recourse shall be to cease using the Service.
4.1. PDF Tool Center grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. You acknowledge that PDF Tool Center retains all rights, title, and interest in and to the Service, including all Intellectual Property Rights therein.
4.2. We shall use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which we shall give advance electronic notice); and (ii) any unavailability caused by circumstances beyond our reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem, Internet service provider failure or delay, or denial of service attack.
4.3. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. You acknowledge that the Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. We are not responsible for any delays, delivery failures, or other damage resulting from such problems.
5.1. Your privacy is critical to us. We have developed a comprehensive Privacy Policy that governs the collection, use, disclosure, transfer, and storage of your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.
5.2. Specifically regarding the files you upload: You retain full ownership of all files and documents you upload to our Service. We do not claim any ownership rights to your content. Our system is designed to automatically delete all uploaded files and processed outputs within a specified retention period (typically one hour) to ensure the confidentiality and security of your data. We do not screen, monitor, or review the content of files uploaded to our servers, except as necessary to provide the Service or as required by law.
5.3. You are solely responsible for backing up your data. We shall have no liability for any loss or corruption of data, including without limitation, documents, files, or other information that you upload, provice or process through the Service.
6.1. You agree that you will not: (a) use the Service for any illegal purpose or in violation of any local, state, national, or international law; (b) violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third party intellectual property right; (c) interfere with security-related features of the Service, including by: (i) disabling or circumventing features that prevent or limit use or copying of any content; or (ii) reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law; (d) interfere with the operation of the Service or any user's enjoyment of the Service, including by: (i) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (ii) making any unsolicited offer or advertisement to another user of the Service; (iii) collecting personal information about another user or third party without consent; or (iv) interfering with or disrupting any network, equipment, or server connected to or used to provide the Service.
6.2. You are solely responsible for your conduct while using the Service and for any consequences thereof. You agree to use the Service only for purposes that are legal, proper and in accordance with these Terms and any applicable laws or regulations.
7.1. All rights, title, and interest in and to the Service (excluding content provided by users), including but not limited to all copyrights, trademarks, patents, trade secrets, and other intellectual property rights therein, are and will remain the exclusive property of PDF Tool Center and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in the Terms gives you a right to use the PDF Tool Center name or any of the PDF Tool Center trademarks, logos, domain names, and other distinctive brand features.
7.2. Any feedback, comments, or suggestions you may provide regarding PDF Tool Center or the Services is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.
8.1. You agree to defend, indemnify and hold harmless PDF Tool Center and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.
9.1 The service is provided on an "As is" and "As available" basis. PDF Tool Center expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
9.2 We make no warranty that (I) the service will meet your requirements, (II) the service will be uninterrupted, timely, secure, or error-free, (III) the results that may be obtained from the use of the service will be accurate or reliable, or (IV) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations.
10.1 To the maximum extent permitted by applicable law, in no event shall PDF Tool Center, its affiliates, agents, directors, employees, suppliers or licensors be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, this service.
10.2 Under no circumstances will PDF Tool Center be responsible for any damage, loss or injury resulting from hacking, tampering or other unauthorized access or use of the service or your account or the information contained therein.
10.3 In no event shall PDF Tool Center's aggregate liability for all claims relating to the service exceed the greater of $100 or the amount you paid PDF Tool Center, if any, in the last 12 months.
11.1. We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
11.2. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
12.1. These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
12.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
13.1. Severability: If any provision of this Agreement is determined to be illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.
13.2. Waiver: No waiver of any provision of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver.
13.3. Force Majeure: We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
